Terms of Service

These Terms are a binding agreement between you and PromptVault. They cover your account, your content, the public gallery, payment, and the limits of our responsibility. Please read them carefully.
1. Agreement to these terms
These Terms of Service ("Terms") govern your access to and use of PromptVault and its related website, applications, and services (the "Service"), which are provided by Astha IT Inc. ("Astha IT", "we", "us", "our"). PromptVault is a product operated by Astha IT and is not a separate legal entity. By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
2. Eligibility
You must be at least minimum age, 16 recommended years old, or the age of majority in your jurisdiction, to use the Service. By using the Service you represent that you meet this requirement and that your use complies with all applicable laws.
3. Accounts
You must provide accurate information when creating an account and keep it current. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
4. The Service
The Service allows you to create, organize, store, version, share, and discover prompts and related content, including collaborative workspaces and a public gallery. We may modify, suspend, or discontinue any part of the Service at any time. We may set limits on usage, storage, or features.
5. Your content
You retain ownership of the content you create, upload, or submit ("User Content"). You grant us a worldwide, non exclusive, royalty free, sublicensable, and transferable license to host, store, reproduce, adapt for formatting and display, publish, and distribute your User Content solely to operate, provide, and improve the Service and to enable the sharing and public gallery features you choose to use. This license ends when you delete your User Content, except for content you have shared publicly or with others that they have retained, and except for reasonable backup copies retained for a limited period.
You represent and warrant that you own or have the necessary rights to your User Content and that it does not infringe or violate the rights of any third party or any law. You are solely responsible for your User Content and for the consequences of sharing it.
6. Public gallery and shared content
When you publish content to the public gallery or share it within a workspace, you make it available to others as described. You grant other users the right to view and, where the feature permits, copy and reuse such content. Do not publish content you do not have the right to share. We may remove content and restrict features at our discretion, but we are not obligated to monitor content. To report content that infringes your rights, contact us at info@ait.inc.
7. Acceptable use
You agree not to:
- use the Service in violation of any law or these Terms;
- upload, share, or publish content that is unlawful, infringing, defamatory, obscene, harassing, hateful, or harmful, or that contains malware;
- submit content that infringes the intellectual property, privacy, or other rights of others;
- attempt to gain unauthorized access to the Service, other accounts, or our systems;
- interfere with or disrupt the Service, or circumvent usage limits or security measures;
- reverse engineer, decompile, or attempt to extract source code except as permitted by law;
- use the Service to develop a competing product, or scrape or harvest data except as expressly permitted;
- misrepresent your identity or affiliation, or use the Service to send spam or unsolicited communications.
We may investigate and take appropriate action, including removing content, suspending access, and reporting to authorities.
8. Intellectual property
The Service, including its software, design, text, graphics, logos, and trademarks, is owned by Astha IT or its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights. You may not use our name, logos, or trademarks without prior written permission.
9. Third party services and AI generated content
The Service may rely on or integrate third party services, including artificial intelligence providers. Your use of such features may be subject to third party terms. Content or outputs generated with the assistance of artificial intelligence may be inaccurate, incomplete, or unsuitable for your purposes. You are responsible for reviewing and verifying any output before relying on it. We make no representation that any output is accurate, original, non infringing, or fit for any particular purpose. The Service is a tool for organizing and managing prompts and is not a substitute for professional advice.
10. Payment and subscriptions
Certain features may require payment. Fees, billing cycles, and plan details are presented at the point of purchase. You authorize us and our payment processor to charge your payment method for applicable fees. Unless required by law or stated otherwise, fees are non refundable. We may change prices with prior notice. Failure to pay may result in suspension or termination of paid features.
11. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms, create risk or legal exposure for us, or for any other reason permitted by law. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, and dispute resolution.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non infringement. We do not warrant that the Service will be uninterrupted, secure, error free, or free of harmful components, or that any content or output will be accurate or reliable. To the maximum extent permitted by law, we disclaim all such warranties. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
13. Limitation of liability
To the maximum extent permitted by law, in no event will Astha IT, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Service, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or related to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or fifty United States dollars (USD 50). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless Astha IT and its affiliates and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your User Content, your use of the Service, your violation of these Terms, or your violation of any law or the rights of any third party.
16. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new effective date and, where required, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree to the changes, stop using the Service.
17. Miscellaneous
These Terms, together with the Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and Astha IT regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them freely. Nothing in these Terms creates a partnership, agency, or employment relationship. We are not liable for delays or failures caused by events beyond our reasonable control.
